It's mostly OK, but I really disagree with the idea of giving a bonus to AC specifically against attackers who would typically be advantaged in their attack. It's thematically incoherent (what are you doing that gets you a shield bonus *specifically* when you are flanked?) and feels mechanically unsound, making flanking an actual liability. I also disagree with basically handing out the additional effect of Improved Uncanny Dodge as a feat, but that might just be my preference - including such a feature makes me question the Moderate rating, in any case. While just negating the numerical advantage granted to opponents who flank is arguably not a Moderate feat, I don't think there's anything wrong with folding its effect together with the advantage-negating effect of "Four-Sided Defense" and calling it a day with the result as a single feat. "Nobody gets numerical advantages for flanking you, ever" seems Moderate balance to me. The theme is more coherent that way, too.
