The main thing I don't like about this class just stems from the fact that it requires a 9th level spell as a prereq. As a result, for any typical campaign, this is an epic level prestige class and probably should just require epic levels.

The conditions on steal soul are a bit weird: sum of at least 15 or both at least 6.

The steal soul ability is wordy and I also don't really like that you have to keep track of each soul separately. My suggestion would be to have it so that each stolen soul adds soul points as normal, but no matter what when the soul collector dies, each person killed can be raised as normal (just scrap all the HD reduction and such). Either that or have it that their soul is bound to a gem (like the spell), but the collector can consume the soul from the gem for soul points which burn away after 1 minute (or something like that). The gem could then be reused.

Now, you can't even use soul points until 3rd level and the ability kinda sucks. That needs to be fixed, I think.

Phantom weapon is pretty useless considering that it only gives effectively a +2 weapon. That's chump change for a soul collector at this point.

Soul blast makes my head hurt. Complex equations should generally be avoided in D&D.

Ghostly aid gives a 1st level spell effect. That's not too useful.

Spiritual mount is probably fine. It's a useful spell to replicate.

Possess object is probably also ok.

Possess creature is an ability actually worth having.

Dement is kinda lame in the fact that the fear effect is random. I'd make it scale based on how much they fail their save. Note the DC is pretty easy to beat. I'd also make that 10 + 1/2 character level + ability modifier. Soul points could be used to pump that DC up by another 2 an addition to a base cost for the ability.

If you do end up reworking this class, I'd suggest coming up with an ability that allows you to trade soul points directly for spellcasting. I'd also Allow the class to start at level 11 and give soul bind as a 6th level spell. It really wouldn't be too broken -- the spell is not an overpowered 9th level in the first place.
